5.SOFTWARE LICENSE AGREEMENT

IMPORTANT!!! PLEASE READ CAREFULLY: This License Agreement (Agreement) is a legal and binding agreement between you (Licensee) and misoft systems (Licensor) regarding CRMWeb and all related materials (the Software Product). By installing, copying or otherwise using the Software Product, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Software License Agreement you should not install, copy or use the Software Product.

This Software License Agreement also applies to all updates or modifications of the Software Product provided by Licensor.

1)CRMWeb License

CRMWeb is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. CRMWeb is licensed, not sold. misoft systems hereby grants you a non-exclusive, non-transferable license, with no right to grant sub-licenses (1) to use and to provide CRMWeb to Authorized Users for non-commercial use in accordance with this Software License Agreement and (2) to make one copy of the product solely for archival back-up purposes, provided you reproduce misoft systems' copyright proprietary legends in such a copy.

The Licensee and its Authorized Users agree that the copyright and title to CRMWeb and any trademarks or service marks relating thereto remain with Licensor. Neither Licensee nor its Authorized Users shall have right, title or interest in CRMWeb except as expressly set forth in this Agreement.

2)Authorized Users of the Software Product

Authorized Users are persons affiliated with Licensee such as full and part time employees (including independent contractors) of Licensee and the institution/company of which it is a part, regardless of the physical location of such persons.

Licensee and its Authorized Users shall be granted access to the Software Product, provided they are identified and authenticated. Authorized Users shall be identified and authenticated by the use of usernames and passwords assigned by Licensee. Licensee shall be responsible for issuing nd terminating passwords and verifying the status of Authorized Users.

Licensee and its Authorized Users may:

a) install the Software Product or any copy thereof on only one computer; b) physically transfer the Software Product and its archives from one computer to another, however it may only be used in one location at a time; c) make only one (1) copy of the Software Product solely for back-up purposes during the term of this Agreement; all proprietary notices on this single back-up copy must be reproduced;

3)Restrictions

Licensee shall not knowingly allow anyone other than its Authorized Users to use or to gain access to the Software Product. Licensee agrees to take all reasonable precautions to preclude access of unauthorized parties to the Software Product.

Unless an activity is expressly permitted, it may not be done.

For greater clarity, this Agreement specifically DOES NOT PERMIT Licensee and its Authorized Users to:

a) copy or reproduce the Software Product or any portion thereof, except as permitted above; b) sell, rent or lease the Software Product to any third party; c) CRMWeb is licensed as a single product; its component parts may not be separated; d) distribute (electronically or otherwise) copies of the Software Product or parts of it to others; e) translate, modify, reverse engineer, decompile or disassemble the software Product in whole or in part; f) prejudice or violate the title, copyrights or other rights of Licensor and/or third parties by using the software Product; g) remove, obscure or modify any copyright or other notices from any place in the Software Product; h) transfer all or a part of your rights under this Software License Agreement to any third party without obtaining prior written consent of Licensor; i) use a previous version of the Software Product when you have received a new version and are required to stop using the older one.

4.DISCLAIMER OF WARRANTY

THE DISCLAIMER OF WARRANTY IS AN ESSENTIAL PART OF THIS AGREEMENT. YOU EXPRESSELY ACKNOWLEDGE AND AGREE THAT THE USE OF THE SOFTWARE PRODUCT IS AT YOUR SOLE RISK. CRMWeb IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, AND MISOFT SYSTEMS EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, ORAL OR WRITTEN, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. MISOFT SYSTEMS DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE PRODUCT WILL MEET YOUR REQUIREMENTS, THAT THE SOFTWARE PRODUCT IS BUG FREE OR THAT THE OPERATION OF THE SOFTWARE PRODUCT WILL BE UNINTERRUPTED OR CORRECT. FURTHERMORE, LICENSOR DOES NOT WARRANT OR AKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS YOU MAY OBTAIN BY USING THE SOFTWARE PRODUCT IN TERMS OF ITS CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. SHOULD THE SOFTWARE PRODUCT PROVE DEFECTIVE, YOU (AND NOT MISOFT SYSTEMS) SHALL ASSUME THE ENTIRE COST OF ALL NECESSARY CORRECTIONS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY MISOFT SYSTEMS OR A MISOFT SYSTEMS AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

5.LIMITATION OF LIABILITY

IN NO EVENT SHALL MISOFT SYSTEMS OR ANY OF ITS EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INCIDENTAL, INDIRECT, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF GOODWILL, INTERRUPTION IN THE USE OF THE SOFTWARE PRODUCT AND ANY RELATED MATERIALS, LOSS OF BUSINESS INFORMATION, FOR ANY OTHER PECUNIARY LOSS) IN CONNECTION WITH ANY CLAIM, LOSS, DAMAGE, ACTION, SUIT OR OTHER PROCEEDING ARISING UNDER OR OUT OF THIS AGREEMENT, INCLUDING WITHOUT LIMITATION YOUR USE OF, RELIANCE UPON, ACCESS TO, OR EXPLOITATION OF THE SOFTWARE PRODUCT, OR ANY PART THEREOF, OR ANY RIGHTS GRANTED TO YOU HEREUNDER, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER THE ACTION IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OR OTHERWISE.

IN ANY EVENT, ENTIRE LIABILITY OF LICENSOR FOR DAMAGES OF ANY KIND WHATSOEVER ARISING OUT OF THIS AGREEMENT, SHALL BE LIMITED TO THE PURCHASE PRICE ACTUALLY PAID BY LICENSEE TO MISOFT SYSTEMS. SOME JURISDICTIONS DO NOT ALLOW FOR LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

6.Term and Termination

This license is effective until terminated hereunder.

a. You may terminate this license at any time by ceasing to use the Software Product. b. misoft systems may terminate the license granted herein if you fail to comply with any term or condition of this Software License Agreement. c. The license granted to you herein will terminate automatically upon any breach of articles 1, 2 or 3. d. Upon termination of this Software License Agreement for any reason, you shall immediately stop using the Software Product and destroy and remove from all computers, hard drives, networks, and other storage media all copies of the Software Product. e. The provisions of articles 2 through 14 of this Software License Agreement shall survive the termination of this Agreement.

7.Indemnification

You agree that misoft systems shall have no liability whatsoever for any use you make of the Software Product. You agree to indemnify and hold misoft systems harmless against all claims or liability asserted against misoft systems arising out of or in connection with any breach by you or anyone acting on your behalf of any of the provisions of this Software License Agreement.

8.SEVERABILITY

If any provision or provisions of this Software License Agreement shall be held to be wholly or partially illegal, invalid or unenforceable, so shall the validity, legality and enforceability of the remaining provisions not be affected or impaired thereby. YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
